Commercial Contract Drafting Course: General information

This is a nineteen half-day commercial contract drafting course designed for those that already have knowledge of the law but are looking to improve their practical drafting skills.

The objectives of the course is to enable them to change their mindset, improve their knowledge of contract law and learn the necessary skills of writing clear, concise commercial contracts.

This Commercial Contract Drafting Course includes essential legal concepts in contract law, its rights, remedies, and enforceability. The course will be delivered by Le The Hung, our Managing Partner, an expert in drafting commercial contracts.

The practical knowledge needed by practicing lawyers and inhouse counsel on the best practices for contract drafting will be covered and practiced in exercises during numerous breakout sessions in teams led by the speakers.

All of the above are intended to require full input from the participants to ensure they gain a solid working understanding of the principles and basics of writing clear, concise, contracts covering the benefits and obligations agreed.

Commercial Contract Drafting Course – The Agenda

Our aim is to make this Commercial Contract Drafting Course the most comprehensive contract drafting available in Vietnam. We cover both the more general principles of contract drafting in the first phase (from session 1 to session 8) and how to draft more complex contract terms (from session 9 to session 19).

Specifically, in the first stage, the Commercial Contract Drafting Course aims to provides the participants with:

• How to plan and structure clauses
• How to draft in a concise way
• Basic rules of drafting contractual obligations in light of governing law.

Our program adopts the same international approach as University College London (UCL) when offering the contract drafting course to a global audience.

Once equipped with necessary conditions, participants will advance their skills in the 2nd phase (sessions 9 – 19).

In this phase, participants will acquire knowdge and skills for drafting specific clauses, addressing specific legal issues, and settling potential contractual issues during contract management.

To make it more interesting, four typical commercial contracts, e.g., Sales Contracts, Lease Agreements, Loan Agreements, and Business Cooperation Contracts are used.

Simplified exercises are frequently provided to participants for discussion and apply their skills at different points of time. More specifically participants are provided with opportunities to master word choices by using two and three word terms, deemed, using negative/positive statements, or exclusion techniques.
